Kenneth C. Winterbottom
Counsel
Ken is an experienced transactional attorney who focuses on mergers and acquisitions, private equity, securities compliance and reporting, commercial contracts, corporate governance and activism defense, and other corporate matters, including serving in an “outside general counsel” capacity for companies without in-house legal teams advising clients on a diverse variety of transactional matters.
Ken has spearheaded many M&A transactions by both publicly traded and privately held companies, including “de-SPAC” business combination transactions, complex carve-outs of operating business lines, and multiple public company deals with individual transaction enterprise values in the billions. He represents both buyers and sellers and works on both domestic and cross-border transactions.
Prior to joining ZLG, Ken spent his entire career at Dechert LLP. He was a two-time recipient of the Samuel E. Klein Pro Bono Award. Ken obtained his Juris Doctor from Harvard Law School, where he served as an editor for the Journal of Law and Technology, and received his Bachelor of Arts, summa cum laude, from the University of Pennsylvania.
Ken was born and raised in Philadelphia, Pennsylvania, where he resides with his wife and daughter.
